▶ 1. Introduction
By registering as a mentor with NanoSchool, you acknowledge and agree to abide by the terms of this Agreement. This agreement outlines the responsibilities, expectations, compensation structure, and other essential terms involved in the mentoring relationship. This relationship between the Company and Mentor is strictly freelance and not an employment relationship.
▶ 2. Platform Overview
NanoSchool connects experienced professionals, such as yourself, with students (mentees) who seek guidance for personal and professional development. As a mentor, you commit to providing expertise, advice, and support to the mentees in various academic and career paths, contributing to their growth and success. This mentoring relationship will help the mentee gain insight and develop skills in their field of interest.
▶ 3. Mentor Responsibilities
3.1 Commitment
You commit to dedicating the agreed-upon time and resources to the mentoring relationship. You will participate actively in mentoring sessions and follow through with the agreed activities as outlined in the mentorship plan.
3.2 Communication
You will maintain regular and prompt communication with NanoSchool and your mentee(s). This includes timely responses to messages, availability for meetings, and active participation in scheduled sessions. Open and transparent communication is key to the success of the mentorship.
3.3 Ethical Standards
You will uphold the highest ethical standards during the mentorship. This includes ensuring a respectful, supportive, and professional environment for all participants. You will not engage in discriminatory or inappropriate behavior in any form.
3.4 Promotion
You agree to actively promote the NanoSchool mentorship program within your professional network, helping to increase awareness and encourage the participation of future mentors and mentees.
3.5 Execution
You will diligently execute the mentorship plan as outlined. You agree not to cancel scheduled mentorship sessions without prior consent from NanoSchool. If you need to reschedule a session, you will provide sufficient notice and work with your mentee and Nanoschool to reschedule accordingly.
3.6 Accuracy
You affirm that all information provided during the mentorship, whether related to your professional background, your expertise, or any other relevant matter, is accurate to the best of your knowledge. You will not misrepresent yourself in any way.
▶ 4. Mentoring Sessions
4.1 Frequency
Mentors and mentees will agree upon a mutually convenient schedule for mentoring sessions. The frequency of sessions may vary depending on the mentor’s and mentee’s availability and the mentee’s needs.
4.2 Mode of Communication
Mentoring sessions will generally be conducted online using platforms such as Zoom, Google Meet, Skype, or any other mutually agreed-upon method of communication. You will ensure that you have the necessary technology to participate in such sessions.
4.3 Duration
Each session’s duration should be agreed upon by both parties and is typically expected to last between 60 and 90 minutes, but this may be adjusted based on availability and the nature of the discussion.
4.4 Preparation
Both parties should come prepared for each session. The mentor should review any previous discussions or assignments, and the mentee should come with clear objectives or questions to discuss.
▶ 5. Time Commitment
5.1 Flexibility
Mentors are expected to dedicate sufficient time to the mentorship relationship as per the event schedule. The mentor must ensure availability for the agreed-upon mentoring sessions, activities, and any additional commitments related to the mentorship program.
While the time commitment is generally flexible, mentors are expected to prioritize the mentoring process and adhere to the agreed schedule, unless there is an unavoidable urgency or emergency on the mentor’s end. Any changes to the schedule must be communicated to NanoSchool and the mentee in advance to allow for appropriate adjustments.
Flexibility is encouraged to accommodate any dynamic needs, but the mentor must ensure that the overall program’s timeline and objectives are met.
▶ 6. Confidentiality and Data Protection
6.1 Confidentiality
Both parties (Nanoschool and Mentor) agree to keep any proprietary, confidential, or sensitive information shared during the mentorship process strictly confidential. This includes but is not limited to business, academic, or personal information related to the mentor, mentee, or NanoSchool.
6.2 Data Protection
NanoSchool is committed to protecting the privacy and confidentiality of personal data shared during the program. Both parties agree to comply with all applicable data protection laws and regulations.
▶ 7. Conflict of Interest
7.1 Disclosure
As a mentor, you agree to disclose any potential conflicts of interest that may arise during the mentorship process. This includes any personal, professional, or financial interests that might affect the objectivity or fairness of the mentorship.
▶ 8. Program Evaluation
8.1 Feedback
Mentors will receive feedback periodically to assess the progress of the mentorship and to help improve the program. This will also help ensure the continued success of the mentorship and refine the overall process. Both mentors and mentees are encouraged to provide honest and constructive feedback.
▶ 9. Code of Conduct
9.1 Respect
Mentors must treat each other with dignity, respect, and professionalism. Disrespectful, inappropriate, or discriminatory behavior is not tolerated.
9.2 Integrity
Both parties must engage in honest and transparent communication throughout the mentoring process.
9.3 Boundaries
Mentors should maintain professional boundaries, and both parties should avoid conflicts of interest. Personal matters should remain outside the scope of the mentoring relationship.
9.4 Compliance
Both parties agree to adhere to all applicable laws, regulations, and NanoSchool policies. The mentor must also comply with the internal guidelines provided by NanoSchool.
▶ 10. Non-Compete & Intellectual Property
10.1 Non-Compete
During your term as a mentor and for 6 months thereafter, you agree not to engage in mentoring or consultancy with direct competitors of NanoSchool within the assigned territory.
10.2 Intellectual Property
Any intellectual property (IP), including course content, methodologies, research, and other materials created during the mentorship, will belong to NanoSchool. As a mentor, you agree to transfer all IP rights related to these materials to the Company.
▶ 11. Compensation
11.1 Structure
Mentors will be paid as mutually decided by NanoSchool based on the agreed terms for each program. The payment structure will be clearly defined before the commencement of the mentoring process.
11.2 Payment Terms
Payments will be made within 5–15 days after the successful execution of the program. Payments will be tracked through a CRM system that allows for transparent reporting and mutual sign-off on lead ownership.
▶ 12. Expenses
Mentors will not be reimbursed for any expenses incurred during the mentorship unless those expenses are pre-approved in writing by NanoSchool.
▶ 13. Termination
13.1 Notice Period
If a mentor decides to discontinue the mentorship, they may inform NanoSchool directly. There is no mandatory notice period for termination. However, the mentor must first complete any pending workshops or programs that they have committed to before resigning from the mentorship. Once all pending responsibilities are fulfilled, the mentor can formally exit the mentorship program.
NanoSchool will ensure that all necessary transitions and follow-up activities are conducted smoothly.
13.2 Immediate Termination
NanoSchool may immediately terminate the relationship for breach of the terms, misconduct, fraud, or unethical behavior.
13.3 Settlement of Compensation
Upon termination, any outstanding compensation for services rendered will be settled in accordance with the agreed payment terms.
▶ 14. Independent Contractor Status
Mentors are independent contractors and are not considered employees of NanoSchool. As independent contractors, mentors are not entitled to any employment benefits such as health insurance, paid leave, or retirement benefits.
▶ 15. Governing Law
These Terms and Conditions are governed by the laws of India. Any disputes arising from the mentoring relationship shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
▶ 16. Dispute Resolution
In case of disputes, both parties agree to resolve the issue through arbitration in India, following applicable arbitration rules and laws.
▶ 17. Amendments
NanoSchool reserves the right to modify these Terms and Conditions at any time. Mentors will be notified of any changes, and continued participation in the program constitutes acceptance of the updated terms.
